Rules of membership in Eurojuris Ukraine Association and exclusion from the Association The rules are worked out according to Clause 5.1, 5.3 and 6.2.3. of the Eurojuris Ukraine Association Statute (hereinafter referred to as - the Association) and define conditions, criteria and order of membership in the Association as well as exclusion from the Association. 1. Conditions and criteria of membership in the Association. A legal entity which is interested in membership in the Association shall meet the following requirements: 1. Good reputation which is known and agreed by the founders of the Association. It is evaluated by the founders on: - the analysis of information in mass media; - the colleagues’ polling; - personal opinions of the full members of the Association. 2. Practice areas of an applicant firm which supplement (expand, strengthen) a package of legal services provided by the full members of the Association. 3. Observance of the current requirements (criteria) of Eurojuris Ukraine to its members, in particular, the requirement to the quality standards of services, at the time of the applicant firm’s request. 4. Understanding of tasks and appreciation of the Association values. Willingness to join the Joint-Cooperation Agreement and Agreement on the mutual disputes resolution. 5. Willingness to actively participate in the activity of the Association in the spheres agreed by the founders of the Association. Clear vision of prospects of the participation in the Association. 6. No information on the applicant firm (its employees, partners, founders, etc.) concerning its actions which contradict legal ethics – professional reputation (clients’ misleading, abuse of the clients’ trust, document forgery or deliberate use of the forged documents, etc.) 7. Financial criteria: Willingness (and ability) to participate in the operational expenses of the Association according to the approved budget. Willingness (and ability) to pay an entrance fee. Willingness (and ability) to pay the annual fee to Eurojuris Ukraine Association. 2. Order of membership in the Association. A legal entity shall be admitted to the Association on the basis of an application form and according to the corresponding decision of a managing board of a legal entity which is authorized to make decisions on entry to associations. Rules of admission are as follows: 1. An applicant firm shall fill in and submit an application form to the Association Directorate according to the list of the criteria stated in these Rules. 2. The Association Directorate shall consider the application form of the applicant firm within 3 days. If the application form is incomplete, it shall be returned to the applicant firm with the shortcomings pointed out. If the application form of the applicant firm meets the formal requirements, it shall be sent to all the members of the Association for consideration. All members of the Association shall within 3 days exchange opinions by sending a letter to the address of the Association Directorate. The Association Directorate shall within 3 days to report the results of the preliminary exchange of opinions to all the full members of the Association. 3. In case of no direct objections at least one of the founders of the Association concerning admission of the applicant firm to the Association which is defined according to the received letters, the Association Directorate shall hold the general meetings of the Association according to the Statute, provided that the general meetings shall be held once a quarter. 4. The general meetings of the Association make decisions on membership of the applicant firm in the Association. The Association Directorate may conduct voting by a poll. 5. Voting on membership of the applicant firm in the Association shall be carried out according to Clause 7.3.1.of the Association Statute. 6. A new member of the Association shall pay an entrance fee during 5 days from the moment of the Association’s decision on membership of the applicant firm. The Association Directorate shall register a new member and issue a Member Certificate. 7. In case of direct objections of the Association founder(s) on membership of the applicant firm the general meetings of the Association on this issue shall not be held. In this case the Association Directorate shall notify the applicant firm on objections and poll again the Association founder(s) which made objections in 1 month from the date of such notification. In case of objections of the Association founder (s) in 1 month from the date of such notification, the Association Directorate shall notify the applicant firm on refusal to admit to membership. 8. The applicant firm has the right to resubmit the application form for membership in the Association but not earlier than in 6 months from the date of refusal. 3. Grounds for exclusion from the Association. Any member of the Association can be cut off from membership in the Association. The grounds are as follows: 1. Actions which testify about (bring to) non-compliance with the criteria stated in Section 1 of these Rules, after getting membership, the subsequent membership in the Association. 2. Failure to fulfill (to comply with professional activity of the member) or to observe the conditions stipulated in the Regulations and Rules of the Association (Fee Payment Rules, the Unified Tariff Policy Regulations, etc.) 3. Failure to pay membership fees and make other payments (money liabilities) according to the Fee Payment Rules and the Budget for a corresponding calendar year, including the agreed part of the royalties (payments) received from clients due to (owing to) the participation in the activity of Eurojuris Ukraine. 4. The grounds for exclusion from the Association are not limited to the above listed ones. A member can also be excluded in case of violation of its obligations according to Clause 5.4 of the Statute and decisions of the Association general meetings. 4. The order of exclusion from the Association. 1. If any member or the Association Directorate have grounds to exclude a member from the Association, they have the right within a month to initiate the general meetings of the Association with sending a corresponding request to the President of the Association. 2. The President shall arrange for (convene) the general meetings of the Association not later than within a month from the date of receiving the request. 3. If the President does not arrange for the general meetings of the Association within a month, the member initiating the exclusion shall have the right to individually arrange for the general meetings of the Association. 4. Voting at the general meetings of the Association on exclusion of a member from the Association shall be carried out according to Clause 7.2.1. of the Association Statute. Membership Application Form
